Requirement

Looking for 4 to 8 Years Post Qulaified Experience of CS & LLB from Manufacturing Industry

 

Secretarial Activities

  •          Analysing the Memorandum and Article of Association as per company’s stand and to do necessary compliances.
  •          Convening and conducting of Board, EGM, and annual General Meetings.
  •          Maintenance of all statutory Records and Registers as required under the provisions of Companies Act and other applicable laws.
  •          Preparing Notices, Director Report, Resolutions & minutes of Board Meetings, Extra-Ordinary General Meetings, Annual General Meeting, and Committees Meeting.
  •          Liasoning with Registrar of Companies Office.
  •          Handled the procedure in respect to various legal audits and legal Due Diligence of the company.
  •          Compliance and implementation of Director’s remuneration formalities & obtaining approval.
  •          Supervision & maintenance of various statutory registers & records
  •          Drafting of agenda, minutes of meetings, board resolution and agreement etc.
  •          Filing of forms and other statutory returns with registrar of companies relating to companies act.
  •          Draft of MOA & AOA
  •          Compilation, drafting and vetting of annual reports of all the companies in the group and arranging for printing the same
  •          Acting in close liaison with internal and external agencies viz., lawyers, practicing professionals

 

Legal & Compliance:

  •          Providing legal advice regarding laws, marketing, contracts, antitrust compliance, trade regulation, product liability matters, data privacy, customer or third party claims, import, exports, etc.
  •          Drafting and negotiating agreements, including agreements with customers, contractors, suppliers, logistics operators, leases, warehouses, distributors and other third parties.
  •          Preparation of Business Transfer agreements, Non-Disclosure agreements, Contract including sub-contract manufacturing agreements, Purchase Agreements, Consultant appointment agreements, etc.
  •          Vetting of bank loan documents and co-ordinating in raising funds from the Bank / financial institution, etc with on time support in obtaining due diligence report etc.
  •          Handle all legal matters including drafting & vetting legal notice, petitions, replies, power of attorneys, affidavits etc.
  •          Drafting various commercial agreements, memorandum of understanding, lease agreement, sub-lease agreement, sale deed and various other legal documents.

 

Accounts Related works

  •          Book-keeping of documents in SAP.
  •          Preparation of Clients Revenue and Expenses Statements, BRS.
  •          Handling day to day banking related issues.
  •          Finalisation of Balance sheet with Statutory Auditor
